A legal opinion is a formal written view from legal counsel on the legal effect, interpretation, or appropriate handling of a matter. In Canadian federal procurement, it is advice from legal services on issues such as procurement law, contract formation, contract administration, litigation, or contract termination.

Buyers do not treat legal opinions as a courtesy. Federal guidance names specific situations where a written legal opinion must exist before the department acts. For suppliers, the practical point is that a legal opinion is an internal buyer document, but it can shape decisions that directly affect a contract.

Who provides procurement legal opinions in the federal government

The Centre of Expertise in Procurement Law (CoEPL), within the Department of Justice, holds an exclusive mandate, subject to stated exceptions, to provide procurement legal advice. That advice concerns the acquisition of goods, services, and construction, and it generally covers the pre-contractual, contracting, and contract-administration phases. The Department of Justice describes this role in its evaluation of the CoEPL.

Federal departments and agencies rely on the CoEPL for procurement-law advice across the acquisition and contract lifecycle. A contracting official who faces a legal question on a solicitation or a live contract goes to this function rather than to an outside source.

Disputes, litigation, and oversight reviews

Procurement legal advice is not limited to drafting and administering contracts. According to the CoEPL mandate description, the centre also provides legal advice on:

  • procurement-related claims and litigation;
  • judicial-review applications;
  • complaints before the Canadian International Trade Tribunal; and
  • reviews or investigations by oversight bodies such as the Office of the Procurement Ombudsman and the Auditor General.

When a supplier challenges a procurement or a contract decision, the buyer's response is therefore informed by legal counsel within the same federal structure.

Written legal opinions before contract termination

The clearest federal rule on written legal opinions appears in the CanadaBuys buyer's guide on legal services for terminating or suspending a contract. It states that a termination must not be issued without a written legal opinion in each of these cases:

  • termination for default;
  • termination by mutual consent; and
  • termination for convenience.

The guide also sets out how the opinion is requested. The contracting official sends Legal Services the procurement file, a chronological index of the relevant documents, and a short note describing the events that led to the requested termination. Legal Services then provides an opinion and advises on the appropriate method of termination.

This means the choice of termination route is not left to the contracting official alone. Legal counsel reviews the file and advises on the method before the notice is issued.

What legal opinions mean for a supplier bidding on Canadian public contracts

The CanadaBuys guidance is an instruction to the contracting authority. It is not a bid requirement or a supplier certification, and suppliers do not submit legal opinions with a proposal.

A supplier is still affected when a buyer considers ending a contract by default, mutual consent, or convenience. In those cases, the buyer will have assembled a documented file and obtained a written opinion before acting. Suppliers should keep their own records of correspondence, deliverables, approvals, and performance issues, because the buyer's chronological index of events will rest on the contract file. Clear records on your side make it easier to respond if a termination is raised.
