Close out contract, more often written as contract closeout or contract close-out, is the formal procedure that ends a public contract. The purchasing authority confirms that the supplier has delivered and the client has accepted the goods or services. It then completes the remaining administrative and financial tasks, settles any disputes, makes final payment, and closes and archives the file.

Closeout follows physical completion of the work. It is a distinct step, not part of day-to-day contract management. The NATO Procurement Manual describes it as the process by which the procurement service verifies that a contract is complete and that its documentation and transactions can be closed and archived.

What NATO procurement rules require at closeout

The NATO Procurement Manual lists the conditions under which a procurement action counts as complete: supplies and services completed, inspected, accepted and paid for; options and warranties expired; all obligations fulfilled; performance guarantees returned; or a termination fully settled. Its closeout steps include a final contract performance report prepared with the requisitioner, a supplier assessment form, final acceptance and final settlements. Bonds and securities are liquidated or returned, residual obligations such as warranties are recorded in the ERP system, and the file and its transactions are closed.

NATO's Bi-SC Command Procurement Directive 60-70 sets the same test. A contract is not ready for closeout until the contractor complies with all its terms. Closeout is complete only when all contract management actions have ended, all disputes are settled and final payment has been made. Under the NATO manual, a closed contract is not reopened for any cause, and any further deliveries need a new procurement request.

Where closeout sits in the procurement lifecycle

Canadian and NATO buyers place closeout at the end of the lifecycle. The NCIA procurement process has five phases, and the last ends with final payment and contract closeout. Agriculture and Agri-Food Canada describes "Phase 4, Contract closeout" in its professional services procurement audit. The CanadaBuys Buyer's Portal covers the process from planning through to contract closeout.

National Defence uses a five-phase defence purchases and upgrades process. Phase 5, Closeout, begins once the new equipment and supporting organization or service is fully operational. The project team then notifies senior management that capability has been achieved and that all conditions on the project have been met. It also records and shares lessons learned so authorities can close the project's books and accounts.

Financial and performance tasks in Canadian federal practice

Transport Canada's audit of IM/IT procurement defines the contract close-out phase as final payments, contractor performance evaluation and file documentation. Outstanding financial, performance and administrative issues must be addressed before final payment.

Library and Archives Canada's Acquisition Services valuation tool treats contract administration and contract close-out as separate business processes. Closeout covers approving final payments, returning contract financial security, and initiating audits of cost-reimbursable contracts where the contract includes an audit clause. Closeout records carry a retention period of six fiscal years after the end of the fiscal year following the end of the asset's life or the termination of the contract.

What closeout means for a supplier

For a supplier, closeout is where final payment, the return of financial security and the contractor performance evaluation are settled. A supplier should secure documented acceptance of deliverables, resolve open disputes and submit final invoices and claims promptly. It should also keep its own records in case a cost-reimbursable contract is audited. Warranties that outlast delivery are recorded by the buyer and stay in force after the file is closed. Because NATO treats a closed contract as final, any work outside the original scope needs a new procurement action.
