In procurement, an agreement is an arrangement that records the mutual commitments, rights and obligations of the parties. NATO's procurement manual states that a contract is formed through an offer and acceptance, and that it is a written document containing the agreement and its terms. See the NATO Procurement Manual.

The term is used broadly for procurement instruments. It includes contracts, framework agreements, basic ordering agreements, standing offers and supply arrangements. The legal effect of an agreement depends on the instrument, so a supplier needs to know which kind it is signing or qualifying for before assuming that any purchase is guaranteed.

What NATO means by the entire agreement

NATO's General Terms and Conditions treat several documents together as the entire agreement between NATO and the supplier. These are the purchase order, its annexes, the solicitation, the supplier's quotation or catalogue, and NATO's own terms. The full wording is in the NATO General Terms and Conditions.

The same document sets a priority order for cases where the documents conflict:

  • The purchase order and its annexes come first.
  • NATO's solicitation comes next.
  • NATO's General Terms and Conditions follow.
  • The supplier's quotation, catalogue or agreement comes last.

A supplier's own standard terms therefore rank below everything NATO issues.

Framework agreements and basic ordering agreements

NATO's competitive procurement procedure describes a framework agreement as a vehicle under which an agreement is established with a vendor for a specified range of requirements. The agreement sets the ground rules, and the individual requirements are handled within it.

A basic ordering agreement works differently again. An NCIA basic ordering agreement sets the terms under which products or engineering services may be sold or licensed. It does not require the company to sell, and it does not require eligible purchasers to buy. The text is in the NCIA basic ordering agreement terms. Holding one gives a supplier access to buyers, not a commitment to purchase.

Supply arrangements in Canadian federal procurement

In Canadian federal procurement, a supply arrangement is not itself a contract. Contracts arise when specific requirements are competed or otherwise awarded under it. Public Services and Procurement Canada uses supply arrangements to define the scope, clauses and conditions that apply to later contracts.

The professional audit support services supply arrangement shows how this works in practice:

  • It covers only the services identified in its statement of requirements.
  • Resulting contracts can include task authorizations, security requirements, options and limits of expenditure or liability.
  • Bids for specific requirements are solicited from suppliers that have been issued the arrangement.
  • Opportunities are posted on CanadaBuys or sent directly to suppliers where applicable.
  • The supplier agrees to perform only individual contracts made by an authorized Canadian representative and within contract-authority limits.

The ProServices Supply Arrangement is a mandatory federal procurement tool for professional services below the Canada-Korea Free Trade Agreement threshold.

Trade agreements and covered procurement

Trade agreements are a separate use of the word. Canada's government-procurement commitments include the WTO Agreement on Government Procurement, CETA, CPTPP and other free-trade-agreement chapters. Their obligations apply only to covered entities, procurements above the applicable monetary thresholds, and covered goods, services or construction services, as Global Affairs Canada explains. A procurement outside those limits is not subject to them.

What agreements mean for a supplier bidding on Canadian public contracts

Read the instrument before you bid. Check whether it creates a binding contract or only a pool of qualified suppliers, because a supply arrangement or basic ordering agreement does not guarantee work. Follow the incorporated solicitation, terms and conditions, statement of requirements, security provisions and ordering limits, since all of them bind you once a contract is formed. On NATO opportunities, remember that your own quotation or catalogue terms rank last when documents conflict. Where a supply arrangement is required, such as ProServices for in-scope professional services, qualify first, then watch CanadaBuys for the requirements issued under it.
